Seller

  • • We work out the Selling Memorandum
  • • We prepare the marketing strategy (targeting qualified buyers, narrowing the field of candidates)
  • • We perform active search for identifying and confidentially contacting potential investors
  • • We select the most qualified and synergistic candidates (expressions of interest)
  • • We arrange introductions and we assist you during the negotiations

 

Buyer

If your external growth strategy or investment strategy is clear;

If you can describe the targeted companies;

If you admit that it might takes time;

Then we can help you by doing the following:

  • • We understand your business, its environment, your acquisition objectives and your strategy
  • • We prepare the acquisition criteria: “the best candidate profile”. Our aim is to find the exact match between your needs and your objectives
  • • We actively search for acquisition opportunities / acquisition targets
  • • We contact confidentially the targeted companies (expression of interest)
  • • We review information provided by the targeted company
  • • We select the most qualified and synergistic acquisition candidates
  • • We arrange introductions and we assist you during the negotiations


We also work with venture capital companies and second-round investors.

Confidentiality

We take all the necessary precautions to keep confidential the information received from our customers.

We disclose the seller's identity only after having received a signed confidentiality undertaking, for protecting the confidentiality of the operation but also for preventing job offering to the seller's staff.

Fee structure

We work on a “success fee ” mode (no cure no pay). Our services are paid only if a capitalistic operation is concluded between the seller and the buyer. In that case, the amount of the commission is a percentage of the negotiated transaction sum, with a minimum billing.

Special consulting missions (valuation, due diligence, ...) are paid either based on time and material costs or on fixed costs price.
